This is the User Agreement (the “Agreement”) for http://www.socialgoodguides.com (the “Website”), which is owned and operated by Social Innovators Collective (“SIC”). This Agreement is a binding legal agreement between you (“User, “you” or “your”) and SIC. This Website provides Users with access to information, works of authorship, and other content (the “Content”) as well as to a variety of services, including the ability to make donations (the “Services”).
SIC reserves the right to change or supplement the terms of this Agreement at any time, without prior notice, by posting here. You will be bound by any such changed or supplemental terms if you continue to use the Website after such changes are posted. We encourage you to review the Website and this Agreement from time to time to determine whether a revised Agreement has been posted. The date of the last revision appears at the end of this Agreement.
Description of Services
The Website hosts a series of small-business guides authored by professionals in the social impact space, which are designed to support early stage social entrepreneurs, nonprofit founders, creative professionals and individuals working on social impact projects (the “Guides”). Guide topics range from legal to branding to funding to operations. The guides are not exhaustive or cause-specific, but are intended to offer a foundation of learning and a strong starting point for today’s startup changemaker to create lasting impact.
The Guides are made available to you for personal, non-commercial use only. All Guide Content (including, without limitation, text, design, graphics, logos, icons, and images) is the exclusive property of and owned by SIC, or the respective Guide designers or authors, and is protected by copyright and trademark and other applicable U.S. laws. SIC grants you a limited license to access and make personal use of the Guides. You may access, view, download, print and photocopy the Guides available on this Website for your personal non-commercial use only, provided you do not modify the Guides, or modify or delete any copyright, trademark or other proprietary notices that appear in the Guides. You may also share Guide Content through social media, using the embedded social media links on the Website. SIC reserves the right, in its sole discretion, to revoke this license at any time.
Except as set forth above, no part of any Guide may be reproduced, distributed, published, transmitted, photocopied or stored by third parties for download or for sale for any purpose, including commercial purposes, in any form or by any means, including electronic or mechanical methods, except with the prior written permission of SIC. No part of any Guide may be used in connection with a class, seminar, or workshop, or incorporated into a curriculum or course of study without prior written permission from SIC.
The Website provides Users with the ability to post comments to the Guides. The views expressed in such comments belong solely to their respective authors and do not necessarily reflect the views of SIC. SIC is not responsible for any comments posted or the consequences of following any advice offered within comments.

Payments and Payments Processing: Rules for All Payments
You hereby agree that, for all donations/payment transactions, (1) you will not use an invalid or unauthorized credit or debit card or other payment method; (2) donations/payment transactions will be charged to the credit or debit card or other payment method you use through Gumroad; and (3) all donations/payment transactions are final and non-refundable.
You warrant that all text, images and other content you post or submit to the Website, including but not limited to User comments, (“User Content”) are your original work and/or to the extent that the User Content includes any text, images or other content owned by a third party, you warrant that you are licensed to use and reproduce such content on the Website. You accept all liability for any issues that may arise from such User Content. Please do not submit any images or photographs for which you do not have a current model or property release unless you are otherwise authorized to post such material.
By submitting and posting User Content to the Website, you agree that such submission is non-confidential for all purposes. Any submission to this Website will be deemed and remain the property of SIC. You grant or warrant that the owner of such content has expressly granted SIC a royalty-free, perpetual, irrevocable, world-wide, non-exclusive license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform and display the response, comment or content in any media or medium, or any form, format, or forum now known or hereafter developed. In other words, you agree that we may continue to display your User Content on the Website.
SIC reserves the right to review User Content, delete any User Content, refuse to post any User Content, and/or restrict posting rights to the Website for any reason whatsoever. If SIC becomes aware of any User Content that, in its sole discretion, violates this Agreement, or may be fraudulent, misleading, offensive, illegal, defamatory, or infringes the rights, or threatens the safety, of others, or is otherwise objectionable, SIC reserves the right, without notice and in its sole discretion, to edit and/or remove the User Content in question. You will, if asked by a representative of SIC, cease posting any User Content, and/or links to content, deemed by SIC to be offensive, objectionable, in poor taste, or otherwise in violation of this Agreement. Users who fail to comply with a request from SIC to cease posting such User Content may be banned from accessing the Website, and SIC expressly reserves its rights under the law to take any other actions that SIC deems necessary.
You understand and acknowledge that any questions, comments, suggestions, ideas, feedback or other information that you submit to SIC, whether via email or via a form provided on the Website (“User Submissions”), are not confidential and become the sole property of SIC, and that SIC shall own the exclusive rights, including copyrights and any other relevant intellectual property, in the User Submissions.

Except where otherwise noted, SIC owns, or is the licensee of, all intellectual property rights in and to the Website, including all Content, text, photos, videos, images, source code, and trademarks (“Website Content”). Website Content is protected by U.S. and international copyright laws. h) upload or transmit any material that you do not have a right to reproduce, display or transmit under any law or under contractual or fiduciary relationships (such as nondisclosure agreements);
i) upload or distribute files that contain viruses, trojan horses, worms, time bombs, cancel-bots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another, or that are designed to do harm to or allow unlawful access to any computer hardware, software, networks, or any other systems;
g) delete any author attributions, legal notices, or proprietary designations or labels on any User Content that you upload to, or transmit via, the Website;
h) use the Website’s communication features in a manner that adversely affects the availability of its resources to other users;

Warranty Disclaimers and Limitation of Liability
You understand and agree that your use of the Website is at your sole risk. While we do our best to keep our site functioning and free of bugs, SIC does not warrant that the functions and content on the Website or the Services will be free of interruptions, errors, viruses, or bugs, or will operate on all devices or operating systems, or that any such problems will be corrected. All Content, information, materials, Services, and anything else on or linked from the Website are provided on an “As Is” or “As Available” basis. Eligible Users; Children Under 13
Any notices to you from SIC regarding the Website or this Agreement will be posted on this Website or made by e-mail or regular mail.
SIC shall not be liable for any failure or delay in performance due in whole or in part to any cause beyond the reasonable control of SIC, including a delay in services from its contractors, agents or suppliers, and also including but not limited to utility or transmission failures, power failure, strikes or other labor disturbances, acts of God, acts of war or terror, floods, sabotage, fire, natural or other disasters.
Governing Law & Venue and Jurisdiction
By visiting or using the Website, you agree that the laws of the State of New York, without regard to principles of conflict of laws, will govern this Agreement and any dispute of any sort that might arise between you and SIC or any of our affiliates. Any dispute pertaining to this Agreement, except those disputes subject to binding arbitration, shall be brought exclusively in a court of competent jurisdiction in New York, New York.
Any controversy or claim arising out of or relating to this Agreement, except for temporary, preliminary, or permanent injunctive relief or any other form of equitable relief as to which the parties submit to the exclusive jurisdiction of the courts in New York, New York, shall be settled by binding arbitration in New York, New York, and administered by the American Arbitration Association (“AAA”) or similar arbitration body and conducted by a sole arbitrator in accordance with the AAA’s Commercial Arbitration Rules or the arbitration rules of a similar arbitration body. The arbitration shall be governed by the Federal Arbitration Act, codified in chapter 1 of Title 9 of the United States Code, as amended, to the exclusion of state laws inconsistent therewith or that would produce a different result, and judgment on the award rendered by the arbitrator may be entered by any court having jurisdiction thereof. Except as may be required by law or to the extent necessary in connection with judicial challenge, or enforcement of an award, neither a party nor the arbitrator may disclose the existence, content, record or results of an arbitration.
Before commencing any action pertaining to a controversy or claim arising out of or relating to this Agreement, the party wishing to commence the action shall provide reasonable notice to the other party before commencing the action, in order to allow the parties an opportunity to resolve the dispute before resorting to legal action.
You agree to defend, indemnify, and hold harmless SIC, and its affiliates, and all of their respective directors, officers, employees, representatives, proprietors, partners, shareholders, servants, principals, agents, predecessors, successors, assigns, accountants, and attorneys from and against any and all suits, actions, claims, proceedings, damages, settlements, judgments, injuries, liabilities, obligations, losses, risks, costs, and expenses (including, without limitation, attorneys’ fees and litigation expenses) relating to or arising from your use of this Website, the use of any Third Party Sites or Third Party Content, the uploading, transmitting, downloading, or use of User Content, your reliance on Website Content, your fraud, violation of law, or willful misconduct, and any breach by you of this Agreement as stated herein or as modified from time to time in SIC’s sole discretion.
This Agreement constitutes the entire agreement between you and SIC regarding the use of the Website, superseding any prior agreements between you and SIC relating to your use of the Website. The failure of SIC to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision in that or any other instance. If any provision of this Agreement shall be deemed invalid, unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions, and the remainder of this Agreement shall continue in full force and effect
